Terms of Sale & Service Agreement

1. Preamble and Commercial Scope
These Terms of Sale and Service ("Agreement") constitute a legally binding contractual agreement between the purchaser ("Client", "User", or "You") and KURA WORKSTUDIO AG ("KURA", "Company", "We", or "Us"), governing all transactions, orders, allocations, and physical deliveries of precision desktop hardware, including but not limited to the KURA Model 01 Haptic Desk Chronograph and associated accessories.
By confirming an allocation order or transmitting payment on this platform, you unequivocally agree to be bound by every stipulation herein. If you do not consent to these terms in full, do not finalize your procurement transaction.
2. Intellectual Property, CAD Geometry & Industrial Design Rights
All aesthetic configurations, industrial design patents, trade dress, CAD blueprints, magnetic escapement geometries, 480-flute knurling profiles, dimensional specifications, and graphical depictions showcased on this platform or embodied within physical KURA hardware are the exclusive intellectual property of KURA WORKSTUDIO AG.
Purchasing an instrument transfers title to the single physical unit only. It does not grant, license, or convey any copyright, patent, trademark, or reverse-engineering rights. Any reverse engineering, optical 3D scanning for reproductive manufacturing, CNC toolpath generation for duplicate assembly, or commercial resale under counterfeit nomenclature will be pursued under international intellectual property treaties and the United States Lanham Act (15 U.S.C. § 1051 et seq.).
3. Pricing, Allocation & Payment Processing
All listed prices are denominated in United States Dollars ($ USD) unless dynamically toggled to equivalent regional reserve currencies. While we maintain rigorous supply forecasting, raw material volatility in 6061-T6 aerospace aluminum and C36000 naval brass may impact subsequent batch allocations. KURA reserves the right to adjust batch pricing prior to final order confirmation.
Payment must be authorized in full via approved encrypted payment channels (including major credit card networks, Apple Pay, and verified wire transfers) before an order is released to our Zurich logistics cleanroom for precision serialization and packaging.
4. Limitation of Liability & Hardware Usage
The KURA Model 01 is engineered exclusively as an analog desktop focus chronograph and tactile desk instrument. Due to its solid billet metallic construction (net weight 380g to 520g) and internal rare-earth Grade N52 neodymium magnets, the instrument must be handled with appropriate desktop diligence.
KURA WORKSTUDIO AG shall not be liable for:
- Physical impact damage resulting from accidental drops or falls onto unpadded flooring;
- Magnetic interference caused by placing the instrument in direct contact with sensitive magnetic stripe media, mechanical watch hairsprings, or unshielded medical devices;
- Cosmetic degradation or patina evolution on the Raw Patina Marine Brass variant, which is inherently an intended metallurgical characteristic;
- Indirect, incidental, punitive, or consequential damages resulting from lost productivity or workplace scheduling discrepancies.
In no event shall KURA's total aggregate liability exceed the purchase price paid for the specific unit giving rise to the claim.
5. Lifetime Mechanical Warranty Terms
We warrant that each KURA Model 01 will remain free from mechanical defects in the rotational magnetic escapement, damping fluid containment seals, and internal flywheel balance for the lifetime of the original registered purchaser.
This warranty covers seal integrity (prevention of silicone fluid leakage) and magnetic detent alignment. It specifically excludes intentional disassembly, unauthorized attempts to open the sealed fluid reservoir with non-KURA spanner wrenches, or superficial cosmetic scratches accrued during normal office usage.
6. Governing Law & Dispute Resolution
This Agreement and any dispute or controversy arising out of or in connection with the purchase of KURA hardware shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the federal or state courts located in the State of Delaware. For international commercial entities, both parties agree to submit disputes to binding expedited arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC) conducted in Zurich, Switzerland.
